1. Applicability

These terms of service apply to all offers, quotations, agreements and services of FoundByAI VOF, established in Rotterdam, the Netherlands, and registered with the Dutch Chamber of Commerce (KvK) under number 42148136.

By using our services or by placing an assignment, the client accepts these terms. Any deviations apply only if they have been agreed upon in writing.

If one or more provisions in these terms are found to be void or are annulled, the remaining provisions shall remain in full force.

2. Services

FoundByAI provides services in the field of AI visibility. This includes measuring and analysing brand visibility in AI platforms (including ChatGPT, Gemini, Perplexity and Google AI Overview), analysing the citation sources used by these platforms, and advising on and carrying out optimisations to improve visibility.

Clients receive access to a secured dashboard where measurement results and analyses are presented. The exact scope of services is defined in the quotation or agreement.

FoundByAI delivers its services to the best of its knowledge and ability. All services are performed on the basis of an obligation of effort, unless agreed otherwise in writing. We cannot guarantee specific results, as the functioning of AI platforms is beyond our control.

3. Client obligations

The client ensures that all information required for the execution of the assignment is provided in a timely and accurate manner. This includes brand information, relevant search terms and access to required systems.

The client treats login credentials for the client dashboard as confidential and does not share them with unauthorised third parties. In the event of (suspected) misuse of login credentials, the client must inform FoundByAI immediately.

The client is responsible for the accuracy of the data provided and for complying with applicable laws and regulations when using our services and recommendations.

4. Intellectual property

All intellectual property rights in the materials developed or made available by FoundByAI, including software, dashboards, reports, analyses and methodologies, are held by FoundByAI.

The client receives a limited, non-exclusive and non-transferable right to use the delivered materials, solely for internal use and for the duration of the agreement. Reproduction, publication or distribution of materials to third parties is not permitted without prior written consent from FoundByAI.

Data provided by the client remains the property of the client. FoundByAI uses this data solely for the execution of the assignment.

5. Confidentiality

Both parties are obliged to maintain the confidentiality of all confidential information received from each other in the context of the agreement. Information is considered confidential when it has been designated as such by either party, or when this reasonably follows from the nature of the information.

The confidentiality obligation also applies to dashboard data, measurement results, strategic recommendations and login credentials. This obligation continues to apply after termination of the agreement.

6. Liability

The liability of FoundByAI is limited to the amount charged for the relevant assignment, with a maximum of the amount actually paid by the client to FoundByAI in the three months preceding the event that caused the damage.

FoundByAI is not liable for indirect damage, including consequential damage, lost profits, missed savings or damage due to business interruption.

FoundByAI is not liable for damage resulting from changes in the functioning, algorithms or policies of AI platforms. The visibility of brands in AI platforms can change due to factors beyond the control of FoundByAI.

The client indemnifies FoundByAI against claims from third parties related to the information provided by the client or the use of the delivered services.

7. Payment

FoundByAI invoices in accordance with the terms set out in the quotation or agreement. Unless otherwise agreed, payment is due within 14 days of the invoice date.

All amounts are exclusive of VAT, unless expressly stated otherwise.

If the payment term is exceeded, the client is in default by operation of law. FoundByAI is then entitled to charge the statutory commercial interest on the outstanding amount, as well as reasonable extrajudicial collection costs.

FoundByAI reserves the right to suspend access to the client dashboard and the performance of services for as long as invoices remain unpaid.

8. Duration and termination

The agreement is entered into for the duration and under the conditions specified in the quotation or agreement. If no term has been agreed upon, a notice period of 30 days applies for both parties.

Termination must be in writing, by email to cas@foundbyai.nl.

FoundByAI is entitled to terminate the agreement with immediate effect if the client fails to fulfil its obligations, files for suspension of payment, is declared bankrupt, or ceases its business operations.

After termination of the agreement, access to the client dashboard will be discontinued within a reasonable period. Upon request, the client will receive an export of the data available to them, to the extent technically feasible.

9. Governing law and disputes

All agreements between FoundByAI and the client are governed by Dutch law.

Disputes arising from or related to the agreement shall preferably be resolved through mutual consultation. If that proves unsuccessful, disputes shall be submitted to the competent court in Rotterdam, the Netherlands.
